1. Agreement to Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Supera Fulfillment (“Company,” “we,” “our,” or “us”) governing your access to and use of our website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access our website or use our services.
2. Services Description
Supera Fulfillment provides medical kit fulfillment, specimen collection kit assembly, third-party logistics (3PL) services, medical supply distribution, aliquoting services, and related healthcare logistics solutions. All services are subject to availability and acceptance by Supera Fulfillment. We reserve the right to refuse service to anyone for any reason at any time.
3. Account Registration and Use
If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or incomplete.
4. Orders and Quotes
Quotes: All quotes provided are valid for 30 days from the date of issuance unless otherwise specified. Quotes are not binding until accepted by both parties and formalized through a purchase order or service agreement.
Orders: When you place an order with us, you represent that you are authorized to make such purchase and that all information provided is accurate. We reserve the right to refuse or cancel any order for any reason, including product availability, errors in pricing or product information, or suspected fraud.
Pricing: All prices are subject to change without notice. The price charged for products or services will be the price in effect at the time the order is placed, subject to our acceptance of the order.
Payment Terms: Payment terms will be specified in your service agreement or invoice. We accept payment via methods specified in our invoices. Late payments may be subject to interest charges and suspension of services.
5. Product Specifications and Custom Orders
Custom kit assembly and fulfillment services are provided according to specifications agreed upon in writing. You are responsible for providing accurate specifications, component lists, and requirements. We will make reasonable efforts to fulfill orders according to specifications, but variations in components from different manufacturers may occur. Any changes to specifications must be submitted in writing and may affect pricing and delivery timelines.
6. Quality Assurance and Warranties
Service Quality: We maintain ISO 13485 certification and FDA registration, and we operate an ISO 7 cleanroom facility. We provide services in accordance with these quality standards and applicable regulatory requirements.
Product Warranty: Products distributed by us carry warranties provided by their respective manufacturers. We make no additional warranties beyond those provided by manufacturers unless specifically agreed in writing.
Service Warranty: We guarantee that our services will be performed in a professional and workmanlike manner consistent with industry standards. Our 100% error-free fulfillment guarantee applies to kit assembly accuracy when performed according to approved specifications.
Limitation: EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7. Intellectual Property Rights
Our Property: All content on our website, including text, graphics, logos, images, and software, is the property of Supera Fulfillment or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.
Your Property: You retain ownership of all specifications, formulations, designs, and intellectual property you provide to us. We will maintain confidentiality of your proprietary information as specified in our confidentiality agreements.
8. Confidentiality
We agree to maintain the confidentiality of all proprietary and confidential information shared by you in connection with our services. This includes product specifications, formulations, customer lists, pricing information, and other business information. We will not disclose such information to third parties except as necessary to perform our services or as required by law.
9. Delivery and Shipping
Delivery Times: Delivery timeframes are estimates and not guarantees unless specifically agreed in writing. We will make reasonable efforts to meet delivery schedules, but we are not liable for delays caused by circumstances beyond our control.
Shipping Terms: Unless otherwise agreed, all shipments are FOB our facility. Title and risk of loss pass to you upon delivery to the carrier. Shipping costs will be specified in your quote or invoice.
Claims: Any claims for damaged or missing products must be reported within 5 business days of receipt. Failure to report issues within this timeframe may limit our ability to address the claim.
10. Returns and Cancellations
Returns: Custom-manufactured products and kits assembled to your specifications are not returnable unless defective or shipped in error. Standard catalog products may be returned within 30 days in original, unopened condition, subject to a restocking fee.
Cancellations: Order cancellations must be submitted in writing. Cancellations of custom orders may be subject to fees for work completed and materials purchased.
11. Regulatory Compliance
You are responsible for ensuring that products and services ordered comply with all applicable laws and regulations in your jurisdiction. We provide products and services suitable for their intended use when used according to applicable regulations. You are responsible for obtaining all necessary licenses, registrations, and approvals for your use of our products and services.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERA FULFILLMENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use of or inability to use our services
- Any unauthorized access to or use of our servers or any personal information stored therein
- Any interruption or cessation of transmission to or from our services
- Any bugs, viruses, or other harmful code that may be transmitted through our services
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted or shared through our services
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Supera Fulfillment, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of a third party
- Any product specifications or components you provide to us
- Your use or distribution of products or kits we produce for you
14. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
15. Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Dispute Resolution Process: In the event of any dispute arising from these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If negotiations fail, the parties agree to mediation before pursuing litigation.
Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Harris County, Texas, and the parties consent to the personal jurisdiction of such courts.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
17. Entire Agreement
These Terms, together with any service agreements, purchase orders, and our Privacy Policy, constitute the entire agreement between you and Supera Fulfillment regarding our services and supersede all prior agreements and understandings, whether written or oral.
18. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of our services after such changes constitutes your acceptance of the updated Terms.
19. Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
20. Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms or our rights hereunder without restriction.
